The ToS is the contract between Phamon and the User. It governs how they use the site.
Users must be registered businesses (B2B). No retail consumers.
Explicitly state that Phamon is a Marketplace Facilitator, not the buyer or seller. You provide the "digital table" where the trade happens.
All disputes must be settled under Estonian Law via the Harju County Court in Tallinn. This is your "Legal Safe Harbor."
Clearly state the 2.5% per side (5% total) transaction fee. Note that fees are non-refundable once a "Trade Confirmation" is digitally signed.
Phamon reserves the right to "Red Badge" or ban any user for suspicious activity without prior notice.
This is the contract between the two Traders. Phamon provides the template, but they agree to it when they swap.
Users are solely responsible for the valuation of their assets. Phamon provides the platform for exchange but does not guarantee the market value of any item.
All swapped automotive parts/vehicles are traded "As-Is, Where-Is" unless a separate warranty is uploaded by the seller.
If a trade is "Asset + Cash," the cash portion must be cleared through the Phamon-approved escrow (like Stripe/Payoneer) before the assets are released.
Usually, you should define a 48-hour window after delivery for the receiver to report a "Significant Misrepresentation" (e.g., they sent an engine when they promised a gearbox).
To maintain a transparent and secure trading environment, PHAMON utilizes a color-coded verification system. It is the user's responsibility to review the status of a counterparty before confirming a trade.
This user has completed full identity and business verification through our Estonian-compliant KYB process. They are authorized to list inventory on the marketplace.
This user has verified their identity via OTP (Email/Phone) and provided a digital signature for specific trades. They cannot list products on the public marketplace.
Note: Trading with Yellow Badge users carries higher counterparty risk.
This user has been flagged for misconduct, policy violations, or suspicious activity. All trading privileges are suspended.
Phamon reserves the right to report any transaction exceeding $10,000 (or equivalent) to relevant authorities if it lacks clear documentation.
Phamon does not facilitate trade with individuals or entities on the EU or UN Sanctions lists.
Ownership of the asset transfers from Party A to Party B the moment the Digital Signature is finalized and the platform fee is paid.
Unless Phamon offers a logistics "Add-on," the users are responsible for arranging their own shipping, duties, and taxes (Incoterms like EXW or CIF).

We store trade contracts for 7 years (as required by Estonian accounting law).
